Agreement to Our Legal Terms

We are TutorX ("Company", "we", "us", or "our"), a company registered in Naif, Deira, Dubai, United Arab Emirates.

We operate the website https://www.tutorx.academy (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

TutorX is an online learning platform that delivers quality education to students across various curricula and exam preparations, guiding them to realize their potential for over half a decade.

Important Notice: These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and TutorX, concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

Eligibility & Guardian Consent

All students under 18 must have parent or guardian permission to use the platform. Additionally, for students under 13, parents/guardians must provide contact details and complete account verification within 15 days to comply with child data protection laws.

Payments & Multi-Currency

Payments are accepted via Bank Transfer and UPI in AED, INR, or USD. Account activation requires uploading payment proof for manual verification.

Account Security

Profile information can be updated anytime, but account display names can only be changed once every 6 months to prevent unauthorized takeovers.

No Refunds

All course sales and subscriptions are final; no refunds are granted once access to learning materials is enabled.

Governing Law

These terms are governed by the laws of the United Arab Emirates, with disputes subject to binding arbitration in Dubai, UAE.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Intellectual Property Rights

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Content and Marks are protected by copyright and trademark laws globally and are provided "as is" for your personal, non-commercial educational use only.

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to comply with these Legal Terms; (4) if you are a minor, you have received parental or guardian permission to use the Services; (5) you will not access the Services through automated or non-human means; and (6) your use of the Services will not violate any applicable law or regulation.

4. User Registration & Account Rules

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. Users may update their profile information at any time; however, to guard against unauthorized account takeovers, users are permitted to change their account display name only once every six (6) months.

Accounts registered without Google authentication that remain unverified by a parent or guardian after 15 days are automatically purged from our system.

5. Purchases, Currencies, and Payment Verification

We accept payments via Bank Transfer and UPI. Depending on your region or checkout selection, transactions may be billed in United Arab Emirates Dirham (AED), Indian Rupee (INR), or United States Dollar (USD).

To complete a purchase or subscription activation, users must submit proof of payment (such as a bank transfer confirmation or transaction screenshot) via our designated website forms. Access to paid courses or subscription renewals will be granted once the payment proof is verified by our administrative team.

6. Subscriptions and Renewals

Billing and Renewal

To renew a subscription, users must pay their renewal fees and submit a payment invoice via our website form. Upon verification, the subscription will be extended.

Free Trial

We offer a 1-day free trial to new users registering for our Services. The account will not be charged during the trial period, and subscription access will be paused at the end of the trial until upgraded to a paid plan.

Cancellation

You can cancel your subscription at any time by contacting us at support@tutorx.academy. Cancellation will take effect at the end of the current paid billing term.

7. Refund Policy

All sales are final, and no refunds will be issued once payment has been processed and access to educational materials has been granted.

8. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include: systematically retrieving data to build compilations, defrauding or misleading us or other users, circumventing security features, copying or distributing learning materials without authorization, uploading malicious code, or transferring your user profile to another party.

9. User Generated Contributions

The Services do not offer open public forums for user posting, but you may submit assignments, feedback, or support queries. You represent that any materials you submit do not infringe on third-party intellectual property rights or violate any applicable laws.

10. Contribution License

You and TutorX agree that we may access, store, process, and use any information and personal data that you provide following the terms of our Privacy Policy and your choices.

11. Third-Party Websites, Embedded Tools, and Content

The Services may contain links to third-party websites or integrated third-party learning tools, embeds, video players, and media viewers. We do not investigate, monitor, or check third-party content or embedded tools for accuracy or security. We are not responsible for any third-party services accessed through the platform, and your interaction with third-party tools is governed by those respective third parties' terms and policies.

12. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take legal action against violators, and disable or limit accounts that violate platform policies or create operational burdens.

13. Privacy Policy & Data Infrastructure

We care about data privacy and security. Please review our Privacy Policy at https://www.tutorx.academy/policy/privacy. By using the Services, you agree to be bound by our Privacy Policy.

Your data is processed across regional cloud facilities including Cloudflare (Asia Pacific), Google Cloud Services (US/Europe), and AWS SES (Mumbai, India). Payment invoice data for UAE residents is hosted and maintained locally within the United Arab Emirates, while payment invoice data for Indian residents is hosted and maintained locally within India, in accordance with applicable financial laws.

14. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to or terminate accounts for breach of these terms without prior notice.

15. Modifications and Interruptions

We reserve the right to modify or discontinue any part of the Services at any time. We are not liable for any downtime, technical maintenance delays, or service interruptions.

16. Governing Law

These Legal Terms shall be governed by and defined following the laws of the United Arab Emirates. TutorX and yourself irrevocably consent that the courts of Dubai, United Arab Emirates shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

17. Dispute Resolution

To expedite resolution, any dispute arising out of these terms shall first be addressed through informal negotiations for at least thirty (30) days. If unresolved, the dispute shall be finally resolved by binding arbitration under the UNCITRAL Arbitration Rules in Dubai, United Arab Emirates, conducted in the English language before three (3) arbitrators.

18. Corrections

There may be information on the Services containing typographical errors or inaccuracies. We reserve the right to correct any errors and update information at any time without prior notice.

19. Disclaimer

The Services are provided on an as-is and as-available basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof.

20. Limitations of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, or punitive damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

21. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, or claim made by any third party due to or arising out of your use of the Services or breach of these Legal Terms.

22. User Data

We perform routine backups of data, but you are solely responsible for maintaining records of data you transmit. We are not liable for loss or corruption of user-transmitted data.

23. Electronic Communications and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic notices and agree that electronic agreements satisfy all legal writing requirements.

24. Miscellaneous

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right does not act as a waiver. If any provision is deemed unlawful or void, that provision shall be severable without affecting the validity of remaining provisions.
